1. Acceptance of Terms

By accessing, browsing, or using the HRT INVESTOR LLC website located at https://www.hrtinvest.buzz and any associated subdomains, mobile applications, digital platforms, or services (collectively referred to as the Platform), you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service, our Privacy Policy, and any additional terms, conditions, and policies referenced herein or available by hyperlink.

If you do not agree with any provision of these Terms of Service, you must immediately discontinue all use of the Platform and refrain from accessing any content, materials, or services provided through it. The most current version of the Terms will be posted on this page, and the Last Updated date will be revised accordingly. It is your responsibility to periodically review these Terms for changes. Your continued use of the Platform following the posting of any changes constitutes acceptance of those changes. If any modification is unacceptable to you, your sole recourse is to discontinue use of the Platform.

2. Description of Services

HRT INVESTOR LLC provides computer systems design, technology consulting, integrated systems architecture, custom software development, cybersecurity assessment, cloud infrastructure services, and related professional and technical services within the Computer Systems Design and Related Services industry. The specific scope, deliverables, timelines, fees, and terms for any project or engagement shall be set forth in a separate written agreement, statement of work, or service contract executed by authorized representatives of both parties.

The information, content, and materials displayed on the Platform are provided for general informational and marketing purposes only. Nothing on this website constitutes a binding offer, professional advice, or a client engagement relationship unless and until a formal written agreement is executed between you and HRT INVESTOR LLC. 3. User Obligations and Conduct

3.1 Lawful Use

• Uploading, transmitting, or distributing any viruses, malware, worms, Trojan horses, ransomware, spyware, or other malicious or technologically harmful code.
• Attempting to gain unauthorized access to the Platform, user accounts, computer systems, networks, or data through hacking, password mining, brute-force attacks, or any other means.
• Interfering with, disrupting, or imposing an unreasonable burden on the Platform infrastructure, servers, or networks, including through denial-of-service attacks or excessive automated queries.
• Scraping, crawling, data mining, or otherwise extracting data from the Platform using any automated means without our prior written consent.
• Using the Platform to transmit unsolicited commercial communications, spam, chain letters, or pyramid schemes.
• Impersonating any person or entity, misrepresenting your affiliation with any person or entity, or engaging in fraudulent or deceptive conduct.
• Removing, circumventing, disabling, or interfering with any security features, digital rights management mechanisms, or access controls implemented on the Platform.
• Reproducing, duplicating, copying, selling, reselling, or exploiting any portion of the Platform for commercial purposes without our express written permission.

3.3 Accuracy of Information

You agree to provide accurate, current, and complete information when communicating with us or using any forms on the Platform. You are solely responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

4. Intellectual Property Rights

The HRT INVESTOR name, the HRT INVESTOR logo, and all related names, logos, product and service names, designs, and slogans displayed on the Platform are trademarks of HRT INVESTOR LLC or its affiliates or licensors. All other names, logos, product and service names, designs, and slogans on the Platform are the trademarks of their respective owners.

4.3 Limited License

Subject to your compliance with these Terms, HRT INVESTOR LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your personal, non-commercial use or for the legitimate purpose of evaluating and engaging our professional services. This license does not include any right to:

• Modify, adapt, translate, or create derivative works based on the Platform or any Content.
• Distribute, publicly display, publicly perform, or otherwise make available the Platform or Content to any third party.
• Use the Platform or Content for any commercial purpose not expressly authorized by HRT INVESTOR LLC in writing.

Any use of the Platform not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other laws. All rights not expressly granted herein are reserved by HRT INVESTOR LLC.

If you submit, post, upload, or otherwise provide any content, information, feedback, suggestions, or materials to HRT INVESTOR LLC through the Platform or other communication channels (collectively, User Content), you grant HRT INVESTOR LLC a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, non-exclusive, sublicensable, transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any media or format for any purpose related to our business operations, including marketing and service improvement, without any compensation or attribution to you.

You acknowledge and agree that HRT INVESTOR LLC shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any content, goods, or services available on or through any third-party websites or resources. We strongly encourage you to review the terms and conditions and privacy policies of any third-party websites that you visit.

6. Disclaimers of Warranties

THE PLATFORM AND ALL CONTENT, MATERIALS, INFORMATION, PRODUCTS, AND SERVICES PROVIDED THROUGH THE PLATFORM ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS, WITHOUT ANY REPRESENTATIONS, WARRANTIES, GUARANTEES, OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HRT INVESTOR LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
• Any warranty that the Platform will be uninterrupted, timely, secure, error-free, or free from viruses or other harmful components.
• Any warranty that any errors or defects in the Platform will be corrected.
• Any warranty regarding the accuracy, completeness, reliability, currency, or quality of any content or information obtained through the Platform.

YOUR USE OF THE PLATFORM AND ANY CONTENT OR SERVICES OBTAINED THROUGH THE PLATFORM IS AT YOUR OWN RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM HRT INVESTOR LLC OR THROUGH THE PLATFORM SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR CERTAIN LIMITATIONS ON STATUTORY RIGHTS, SO THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, THE LIABILITY OF HRT INVESTOR LLC SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HRT INVESTOR LLC, ITS AFFILIATES, OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES OF ANY KIND WHATSOEVER, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, business, anticipated savings, or goodwill.
• Loss of data, data corruption, or costs of procuring substitute goods or services.
• Personal injury, property damage, or emotional distress.
• Any damages arising out of or relating to the use of, inability to use, or reliance on the Platform or any content, materials, or services provided through the Platform.

THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL THEORY, AND EVEN IF HRT INVESTOR LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE AGGREGATE LIABILITY OF HRT INVESTOR LLC FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF ONE HUNDRED UNITED STATES DOLLARS ($100.00) OR THE AMOUNT YOU HAVE PAID TO HRT INVESTOR LLC FOR SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM.

IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE PLATFORM OR WITH THESE TERMS OF SERVICE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE PLATFORM.

8. Indemnification

You agree to defend, indemnify, and hold harmless HRT INVESTOR LLC, its parent companies, subsidiaries, affiliates, and their respective officers, directors, employees, agents, contractors, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with:

• Your access to or use of the Platform, including any content or services obtained through the Platform.
• Your violation of these Terms of Service, including any breach of your representations, warranties, or obligations hereunder.
• Your violation of any applicable law, regulation, or third-party right, including intellectual property rights, privacy rights, or publicity rights.
• Any User Content you submit, post, or transmit through the Platform.
• Any fraudulent, negligent, or intentional misconduct on your part.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate fully with us in asserting any available defenses. You shall not settle any claim or matter subject to indemnification without the prior written consent of HRT INVESTOR LLC.

9. Termination

These Terms of Service shall remain in full force and effect while you use the Platform. HRT INVESTOR LLC reserves the right, in its sole discretion and without prior notice or liability, to:

• Suspend, restrict, or terminate your access to all or any part of the Platform at any time, for any reason or for no reason, including without limitation for any violation of these Terms.
• Discontinue, modify, or suspend the operation of the Platform, or any portion thereof, with or without notice, at any time.
• Remove, delete, or refuse to display any content, materials, or User Content submitted to or available through the Platform.

Upon termination of your access, your right to use the Platform shall immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability. HRT INVESTOR LLC shall have no liability to you for any termination of your access or for any modification, suspension, or discontinuation of the Platform.

10. Governing Law and Dispute Resolution

These Terms of Service and any disputes arising out of or relating to the Platform or these Terms shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law principles or your state or country of residence. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.

Any legal action, suit, or proceeding arising out of or relating to these Terms shall be instituted exclusively in the federal or state courts located in Salt Lake County, Utah. You and HRT INVESTOR LLC irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection based on inconvenient forum or any other jurisdictional grounds.

Before initiating any formal legal proceeding, you agree to first contact HRT INVESTOR LLC at support@hrtinvest.buzz and attempt to resolve the dispute informally. You must describe the nature of the dispute and the relief you seek. We will attempt to resolve the dispute within sixty (60) days of receipt of your notice. If the dispute is not resolved through informal negotiation, either party may proceed with formal legal action in accordance with this section.

11. Severability and Waiver

If any provision of these Terms of Service is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable from the remaining provisions and shall not affect the validity and enforceability of the remaining provisions, which shall continue in full force and effect. The unenforceable provision shall be replaced by an enforceable provision that most closely matches the original intent and economic effect of the unenforceable provision.

No waiver by HRT INVESTOR LLC of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of HRT INVESTOR LLC to enforce or assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

12. Entire Agreement

These Terms of Service, together with our Privacy Policy and any separate written agreements executed between you and HRT INVESTOR LLC, constitute the entire agreement between you and HRT INVESTOR LLC regarding your use of the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Platform.

In the event of any conflict or inconsistency between these Terms of Service and any separate written agreement between you and HRT INVESTOR LLC governing specific services, projects, or engagements, the terms of the separate written agreement shall control with respect to the specific subject matter addressed therein.
